Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Sheetflow service, websites, and related applications (collectively, the "Service"). The Service is operated by JP Peters, based in Berlin, Germany ("Sheetflow", "we", "us", or "our").

By creating an account, starting a free plan, or using the Service in any way, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

If you accept these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity. In that case, "Customer", "you" and "your" refer to that entity.

1. The Service

1.1 What Sheetflow does

Sheetflow is a software-as-a-service tool that connects Google Sheets to Webflow CMS collections. It provides automated data synchronization, field mapping between spreadsheet columns and Webflow collection fields, scheduled syncing (manual, 5-minute, hourly, daily), bulk create/update/delete operations, sync logging and error reporting, and related features.

1.2 No guarantee of results

Sheetflow helps you synchronize data between Google Sheets and Webflow CMS. We do not guarantee any specific results such as perfect data accuracy, uninterrupted syncing, or compatibility with all data types. Synchronization may be incomplete or inaccurate for many reasons, including:

  • Google Sheets API rate limits or permissions issues
  • Webflow API rate limits or permissions issues
  • Field type mismatches between sheets and collections
  • Configuration errors or incorrect field mappings
  • Third-party platform limitations or changes
  • Network connectivity issues

1.3 Changes to the Service

We may modify or discontinue features, add new features, or otherwise change the Service at any time. If we make a change that materially reduces core functionality, we will use reasonable efforts to notify you in advance via the Service or by email.

2. Eligibility and Accounts

2.1 Who may use Sheetflow

You may use the Service only if:

  • You are at least 18 years old, and
  • You have the legal capacity to enter into a binding contract under the laws that apply to you.

The Service is intended primarily for business and professional use (e.g. businesses, agencies, freelancers), but individual users may also sign up if they use the Service for legitimate purposes and comply with these Terms.

2.2 Account registration

To use the Service, you must create an account and provide accurate and complete information, including a valid email address. You are responsible for:

  • Keeping your login credentials confidential, and
  • All activities that occur under your account.

You must promptly notify us at admin@sheetflow.co if you suspect any unauthorized access to or use of your account.

2.3 Agency and multi-site use

If you are an agency or service provider, you may use a single account to manage Webflow sites for multiple clients, provided that:

  • You have the necessary rights and permissions from those clients, and
  • You ensure that each client's use of the Service complies with these Terms and applicable laws.

3. Free Plan

3.1 Free plan availability

Sheetflow offers a free plan ("Free Plan") that provides limited functionality:

  • 1 Connected Site
  • 100 Items limit
  • Manual Sync only
  • Webflow.io domains only (no custom domains)

No credit card is required to use the Free Plan. The Free Plan is available permanently and is not time-limited, but we may modify Free Plan features or limits at any time.

3.2 Upgrading from Free Plan

To access additional features, higher limits, or scheduled syncing, you must upgrade to a paid subscription plan. We are not obligated to maintain or export any data created during your use of the Free Plan if you do not upgrade to a paid subscription.

4. Subscriptions, Billing, and Taxes

4.1 Plans and billing cycles

Paid access to the Service is offered through subscription plans ("Plans") on a monthly basis. Details of the current Plans and pricing are described on our website or within the Service:

  • Starter: $29/month - 3 Connected Sites, 2,500 Items limit, Hourly Sync, Custom Domains
  • Agency: $79/month - 10 Connected Sites, 15,000 Items limit, 15-min Sync, Priority Support
  • Scale: $199/month - Unlimited Sites, 50,000 Items limit, 5-min Sync, Dedicated Support

4.2 Payment processor (Stripe)

We use a third-party payment processor, Stripe, to handle billing and payment processing. Your purchases and subscriptions may therefore be subject to Stripe's own terms and privacy policy in addition to these Terms. Stripe is responsible for charging your selected payment method and collecting applicable taxes.

4.3 Fees and taxes

All fees are stated exclusive of taxes, unless expressly stated otherwise. You are responsible for any applicable VAT, sales tax, or other governmental charges. Stripe may collect and remit such taxes as required by law.

4.4 Refunds and 14-day consumer right of cancellation

If you purchase a paid Plan through Stripe, your purchase is also subject to Stripe's terms in addition to these Terms.

(a) 14-day right of cancellation for Consumers (initial purchase only)
If you are a Consumer (i.e. you are purchasing the Service wholly or mainly for personal use and not for your trade, business, craft, or profession), you may cancel your initial order and request a full refund within 14 days from the day after completion of your first Transaction, without giving any reason. This 14-day right of cancellation applies only to your initial subscription purchase and does not apply to subsequent automatic renewals of the same subscription.

To exercise this right, you must inform Stripe or us at admin@sheetflow.co of your decision to cancel within the 14-day period.

(b) Digital content and immediate access
Our paid Service is supplied as digital content and/or online services which may be made available to you immediately after purchase. By starting to use the paid features of the Service (for example, by logging in to a paid account, configuring a sync, or executing a sync) during the 14-day period, you consent to immediate performance and acknowledge that, to the extent permitted by applicable law, you may lose your statutory right to cancel once the digital content/service has begun to be supplied or you have had the benefit of it.

(c) Refunds outside the 14-day period
After (i) the expiry of the 14-day cancellation period in section 4.4(a), or (ii) the point at which your statutory right of cancellation is lost in accordance with section 4.4(b), all fees are non-refundable, and there are no refunds or credits for:

  • unused time in a billing period,
  • downgrades, or
  • partial months or unused features of the Service,

except where (x) a refund is required by applicable law, or (y) a refund is granted by us at our sole discretion.

(d) How refunds are paid
Any refund that is approved will be processed by Stripe using the same payment method you used for the original Transaction, within standard processing timeframes.

(e) Mandatory consumer rights
Nothing in this section 4.4 limits any mandatory consumer rights you may have under the laws of your country of residence (including, where applicable, the mandatory consumer protection laws of Germany and the EU/EEA). Where there is a conflict between these Terms and such mandatory rights, those mandatory rights will prevail.

4.5 Automatic renewal

Unless otherwise stated for a specific Plan, subscriptions automatically renew at the end of each billing cycle (monthly) and at the then-current price, unless you cancel before the renewal date.

4.6 Price changes

We may change the prices of Plans from time to time. For existing subscriptions, we will provide prior notice (for example, via email or in-app notification) before new prices take effect. Price changes will apply at the next renewal of your subscription. If you do not agree to the new price, you must cancel your subscription before the renewal date.

4.7 Cancellation by you

You may cancel your subscription at any time, effective at the end of your current billing period. After cancellation:

  • You will continue to have access to paid features until the end of the billing period already paid for.
  • You will not receive any prorated or partial refund for that period.
  • Your account will revert to the Free Plan after the paid period ends.

4.8 Non-payment

If payment fails or your payment method is declined, we may suspend or terminate your access to paid features. We will attempt to notify you before suspending access. You remain responsible for any unpaid fees.

5. Acceptable Use

5.1 Prohibited uses

You agree not to use the Service:

  • In any way that violates any applicable law or regulation
  • To sync data that infringes or violates the rights of any third party, including intellectual property rights, privacy rights, or publicity rights
  • To sync illegal, harmful, or offensive content
  • To sync personal data of individuals without proper consent or legal basis, in violation of data protection laws
  • To attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems
  • To interfere with or disrupt the Service or servers or networks connected to the Service
  • To use automated systems (bots, scrapers) to access the Service in a manner that sends more requests than a human could reasonably produce
  • To reverse engineer, decompile, or disassemble any part of the Service
  • To use the Service to compete with Sheetflow or to build a competing service

5.2 Data responsibility

You are solely responsible for:

  • The data you choose to sync through the Service
  • Ensuring you have proper permissions and authorization to access and modify the Google Sheets and Webflow sites you configure
  • Ensuring your use of the Service and the data you sync complies with all applicable laws, including data protection laws (e.g., GDPR, CCPA)
  • Obtaining necessary consents for processing personal data through the Service
  • Backing up your data independently of the Service

5.3 Violations

Violation of this Section 5 may result in immediate suspension or termination of your account, without refund, and may subject you to legal action.

6. Intellectual Property

6.1 Our rights

The Service, including all content, features, functionality, software, and materials provided by Sheetflow, is owned by Sheetflow (JP Peters) or its licensors and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you are reserved.

6.2 Your data

You retain all ownership rights in and to your data (including Google Sheets data and Webflow CMS content). By using the Service, you grant Sheetflow a limited, non-exclusive license to access, process, and transmit your data solely as necessary to provide the Service to you. We do not claim ownership of your data.

6.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service, you agree that we may use such feedback without restriction or compensation to you.

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

You acknowledge that:

  • You are the data controller for any personal data you sync through the Service
  • Sheetflow acts as a data processor on your behalf
  • You are responsible for ensuring your use of the Service complies with applicable data protection laws
  • Sheetflow processes your data temporarily during sync operations but does not store the actual content of your Google Sheets or Webflow CMS items

8. Third-Party Services

The Service integrates with and depends on third-party platforms and services, including:

  • Google Sheets API: For accessing and reading spreadsheet data
  • Webflow API: For accessing and modifying CMS collections
  • Stripe: For payment processing
  • Supabase: For database and authentication services

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for:

  • The availability, accuracy, or reliability of third-party services
  • Changes to third-party APIs that may affect the Service
  • Rate limits or quotas imposed by third-party platforms
  • Any actions or inactions of third-party service providers

If a third-party service becomes unavailable or changes in a way that materially affects the Service, we will use reasonable efforts to notify you, but we are not obligated to provide workarounds or alternative solutions.

9. Beta Features

From time to time, we may make certain features available to you on a "beta" or "preview" basis. Beta features may be incomplete, contain errors, or be subject to change or discontinuation at any time. We provide beta features "as is" without warranty of any kind. Your use of beta features is at your own risk.

10. Term and Termination

10.1 Term

These Terms apply from the earliest of (a) the date you first access or use the Service, or (b) the date you first accept these Terms, and continue until terminated by you or us in accordance with this Section 10.

10.2 Termination by you

You may terminate your account at any time by following the account cancellation process in the Service or by contacting admin@sheetflow.co. Termination will not affect fees already due or paid.

10.3 Suspension or termination by us

We may suspend or terminate your access to the Service (in whole or in part) with or without notice if:

  • You fail to pay any fees when due;
  • You materially breach these Terms or our Acceptable Use rules;
  • Your use of the Service creates a security risk, may harm others, or may expose us or others to liability;
  • We are required to do so by law or by a third-party platform (e.g. Google or Webflow) whose services we rely on.

10.4 Effect of termination

Upon termination of your account for any reason:

  • Your right to access and use the Service immediately ceases;
  • We may delete or anonymize most associated data (including sync configurations and logs) from our active systems soon after termination, subject to our legal obligations and backup retention;
  • Sections of these Terms that by their nature should survive termination (including without limitation payment obligations, intellectual property provisions, disclaimers, limitations of liability, and governing law) will continue to apply.

We are not obligated to maintain or provide you a copy of any data after termination, except where required by law.

11. Disclaimers

11.1 Service provided "as is"

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

11.2 No guarantee of accuracy or availability

Without limiting the generality of the foregoing, we do not warrant that:

  • The Service will be uninterrupted, secure, or error-free;
  • Data synchronization will be accurate, complete, or available at all times;
  • The Service will be compatible with your systems, browsers, or connected Google Sheets/Webflow sites;
  • Integrated third-party platforms (such as Google Sheets or Webflow) will function correctly or continue to provide APIs that the Service relies on;
  • Field mappings will always work correctly or that all data types will be supported.

You acknowledge that data synchronization depends on third-party APIs and may be affected by factors outside our control, including API rate limits, permissions issues, network connectivity, and platform changes.

12. Limitation of Liability

12.1 Exclusion of certain damages

To the maximum extent permitted by applicable law, in no event will Sheetflow (JP Peters), its affiliates, or its suppliers be liable for any:

  • Indirect, incidental, special, consequential, or exemplary damages, or
  • Loss of profits, revenue, business, goodwill, or data,

arising out of or in connection with the Service or these Terms, even if we have been advised of the possibility of such damages.

12.2 Cap on liability

To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to the Service or these Terms, whether in contract, tort (including negligence), or otherwise, will be limited to the total fees you paid to us for the Service in the six (6) months preceding the event giving rise to the claim.

12.3 Exceptions

Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is not permitted by applicable law, including liability for:

  • Death or personal injury caused by negligence,
  • Intentional or grossly negligent acts, or
  • Any other liability that cannot be excluded or limited under mandatory law.

If you are considered a consumer under applicable law, certain statutory rights may apply in addition to the rights described in these Terms.

13. Indemnity

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Sheetflow (JP Peters) from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service;
  • Your violation of these Terms;
  • Your violation of any applicable law or third-party rights (including Google's or Webflow's terms and policies);
  • Any data or content you sync, process, or transmit through the Service;
  • Your failure to obtain necessary permissions or consents for data processing.

14. Governing Law and Dispute Resolution

14.1 Governing law

These Terms and any dispute or claim arising out of or in connection with them or the Service shall be governed by and construed in accordance with the laws of Germany, excluding its conflict of law rules.

14.2 Informal dispute resolution

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute with us informally by contacting admin@sheetflow.co with a description of your claim. We will attempt to resolve the dispute informally by email. If the dispute is not resolved within 30 days of your submission, either party may pursue other remedies under Section 14.3.

14.3 Jurisdiction and venue

Subject to any mandatory consumer protection rules that grant you additional rights, the courts of Berlin, Germany shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms or the Service.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated Terms and revise the "Last updated" date at the top. For material changes, we will use reasonable efforts to provide additional notice (for example, via email or in-app notification).

If you continue to use the Service after the updated Terms become effective, you agree to be bound by the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.

16. Miscellaneous

16.1 Entire agreement

These Terms, together with any order forms, the Privacy Policy, and any DPA or other written agreements explicitly referencing these Terms, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements or understandings.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

16.3 No waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights or obligations hereunder, by operation of law or otherwise, without our prior written consent. We may freely assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
